1. Acceptance of Terms
By accessing, downloading, installing, or using the Medueti application ("the Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Medueti.
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
If you do not agree to these Terms or the Privacy Policy, you must not access or use the Service.
2. Description of Service
Medueti is a super-app connecting the African diaspora worldwide, providing:
- Social Network: User profiles, posts, feed, following, communities
- Afroshops Marketplace: Buy and sell products from diaspora businesses
- Services Directory: Find and book local service providers
- Events: Discover, create, and attend events with ticketing
- Shipping & Logistics: Connect with travelers for package delivery
- Kitchens: Order home-cooked meals from local kitchens and hosts
- Sublets: Find and list short-term room and housing sublets
- Portfolio & Gallery: Showcase artwork and creative work
- Messaging: Direct messages, end-to-end encrypted
- Creator Program: Approved creators can earn a share of ad revenue
Important: Medueti is a PLATFORM that facilitates connections. We are NOT a party to transactions, NOT responsible for item/service/meal quality, NOT an employer of providers or hosts, and NOT a shipping carrier.
3. Eligibility
You must be at least 16 years old to create an account. By using Medueti, you represent that:
- You are at least 16 years of age
- You have the legal capacity to enter into this agreement
- You are not prohibited from using the Service under applicable laws
You may NOT use the Service if you have been previously banned, are required to register as a sex offender, have been convicted of a violent crime, or are on any government sanctions list.
4. User Accounts
To access most features, you must create an account.
4.1 Account Security
- You are responsible for maintaining credential confidentiality
- All activities under your account are your responsibility
- Notify us immediately of unauthorized access: security@medueti.com
- Use strong, unique passwords
4.2 Account Types
- Standard: Full access to social, marketplace, services, shipping, kitchens, sublets, and events features
- Business: Shop and service-provider tools, plus verification
- Creator: Analytics dashboard and ad-revenue-share eligibility
Business and Creator status is granted by Medueti upon application and approval — it is never sold, and there is no paid tier of the app. See Section 5.
4.3 Account Suspension
We may suspend your account if you violate these Terms, engage in fraudulent/illegal activity, pose a security risk, or as required by law.
5. Payments
Medueti connects people. It does not process payments between users:
5.1 Medueti Does Not Handle Money Between Users
- Medueti never collects, holds, or transfers payments between users
- We never ask for, process, or store card or bank details
- Orders, bookings, tickets, trips, meals, sublets, and listings are agreements between users
- Any payment is arranged and made directly between the users involved, outside Medueti
5.2 You Transact at Your Own Risk
Medueti is not a party to your transaction:
- We do not handle disputes or refunds on your behalf
- We do not guarantee delivery, quality, or that anyone will pay
- Agree on price, timing, and what is included in writing, in chat
- Use traceable payment methods and keep your proof of payment
- Never pay before you have verified the other person and the item
5.3 Medueti Is Free to Use
- Medueti is free and funded by advertising
- There are no subscriptions and no in-app purchases
- Business and Creator status are granted by Medueti, not sold
5.4 Creator Program Payouts (Medueti Paying You)
This is the one flow of money that runs through Medueti, and it goes the other way: from Medueti to eligible creators, not from users to Medueti.
- Approved Creator Program members may earn a share of advertising revenue tied to their content's performance, based on tiers (e.g. bronze/silver/gold) set at Medueti's discretion
- Payouts are made periodically to the PayPal account you designate in your creator payment settings
- Payouts, thresholds, and CPM rates may change at any time and are not a guaranteed income
- Medueti may withhold, delay, or reverse a payout to investigate suspected fraud, fake engagement, or a Terms violation
6. Event Credits
Event Credits are a non-monetary reward Medueti may grant you — for example as a promotion or bonus — for use within the app:
- Creating and promoting events
- Unlocking premium event features
- Boosting event visibility
Event Credits cannot be purchased. There is no way to buy Event Credits with money, in-app or otherwise — they are only ever granted by Medueti.
Important Rules
- Credits have no monetary value and cannot be exchanged for cash
- Credits expire if not used within 12 months of being granted
- Credits are non-transferable and are forfeited upon account termination
7. Marketplace Terms (Afroshops)
Medueti facilitates marketplace transactions between users.
7.1 Seller Responsibilities
- Provide accurate product descriptions and images
- Honor listed prices and terms
- Ship products within stated timeframes
- Comply with consumer protection, product safety, and tax laws
- Not sell prohibited items
7.2 Buyer Responsibilities
- Understand transactions are between you and the seller
- Medueti is NOT responsible for product quality or delivery
- Review seller ratings before purchasing
7.3 Prohibited Items
Drugs, weapons, counterfeit goods, adult content, hazardous materials, live animals, items promoting hate/violence, stolen goods, recalled products.
8. Services Directory Terms
Service Provider Responsibilities
- Provide accurate service descriptions
- Possess required licenses/certifications/insurance
- Comply with professional regulations
- Honor quoted prices and availability
Important: Service providers are INDEPENDENT PROFESSIONALS, not Medueti employees. We do not control how services are performed, set rates, or provide employment benefits.
Client Responsibilities
- Evaluate provider qualifications before booking
- Review ratings and portfolios
- Communicate requirements clearly
9. Events and Ticketing
Event Organizer Responsibilities
- Provide accurate event information
- Fulfill commitments to ticket holders
- Handle cancellations and refunds appropriately
- Comply with venue and local regulations
- Not create fraudulent events
Ticket Purchases
- Tickets are sold by organizers, NOT Medueti
- Subject to the organizer's own terms
- Medueti is NOT responsible for cancellations/changes
- Digital tickets/QR codes are valid only for the specified event
Medueti is NOT responsible for consequential damages (travel, accommodation).
10. Shipping and Logistics
Medueti connects senders with travelers. We are NOT a shipping carrier.
10.1 Sender Responsibilities
- Accurately describe package contents, weight, dimensions
- Not ship prohibited items
- Properly package items
- Provide accurate addresses
- Compensate travelers as agreed
10.2 Traveler Responsibilities
- Accurately describe travel route and availability
- Handle packages with reasonable care
- Comply with customs and import/export regulations
- Not accept prohibited items
10.3 Prohibited Shipments
Drugs, weapons, explosives, live animals, human remains, currency, items requiring special licenses, items violating import/export laws.
10.4 Liability
Medueti is NOT liable for lost, damaged, or delayed packages. Users should obtain appropriate insurance.
11. Kitchens (Home-Cooked Meals)
Medueti connects home cooks and local kitchens with diners nearby. We are NOT a restaurant, food preparer, or delivery service.
11.1 Kitchen Host Responsibilities
- Accurately describe meals, ingredients, and allergens
- Comply with local food safety, hygiene, and health regulations applicable to home or small-scale food preparation
- Hold any license or permit required in your jurisdiction to prepare and sell food
- Honor listed prices, quantities, and pickup/delivery windows
11.2 Diner Responsibilities
- Disclose allergies or dietary restrictions to the host before ordering
- Understand meals are prepared by independent hosts, not Medueti
- Review host ratings before ordering
Medueti does not inspect kitchens or verify food-safety compliance. We are NOT responsible for foodborne illness, allergic reactions, or the quality of meals ordered through the app.
12. Sublets (Short-Term Housing)
Medueti connects people who have a room or property to sublet with people looking for short-term housing. We are NOT a landlord, tenant, letting agent, or party to any lease or sublease.
12.1 Host Responsibilities
- Have the legal right to sublet the listed space (including any landlord or building consent your lease requires)
- Accurately describe the space, amenities, house rules, and availability
- Comply with local housing, safety, and short-term-rental regulations
- Honor agreed pricing, deposits, and move-in/move-out dates
12.2 Guest Responsibilities
- Verify the listing and host before agreeing to a booking or paying a deposit
- Understand the sublet agreement is between you and the host, not Medueti
- Respect house rules and the property during your stay
Medueti does not verify property ownership, lease terms, or local rental-law compliance. We are NOT responsible for deposit disputes, eviction, property damage, or habitability issues arising from a sublet arranged through the app.
13. User Content
User Content includes all content you create, upload, post, or share on Medueti (posts, photos, videos, listings, events, reviews, etc.).
Ownership
You RETAIN ownership of your content. However, by posting, you grant Medueti a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display it for operating the Service.
Content Restrictions (do not post)
- Illegal, harmful, or fraudulent content
- Content infringing on intellectual property rights
- Defamatory, obscene, or pornographic content
- Threatening, harassing, or discriminatory content
- Spam, scams, or deceptive content
- Content violating others' privacy
- Malware or harmful code
We reserve the right to remove violating content without notice.
14. Messaging and Communications
End-to-End Encryption
- Direct messages between two people are protected with AES-256 encryption
- Only the sender and the recipient can read them
- Medueti cannot access encrypted message content
- Encryption keys are stored on your device
Prohibited Communications
- Spam or unsolicited advertising
- Harassment, threats, or abuse
- Sharing illegal content
- Scams or fraud
- Distributing malware
Use in-app reporting for abusive messages.
15. Intellectual Property
Medueti's Property
We own all rights to the Service, software, design, name, logo, and branding. You may NOT copy, modify, distribute, reverse engineer, or create derivative works.
Copyright Infringement (DMCA)
If you believe content infringes your copyright, submit a DMCA notice to legal@medueti.com, including:
- Description of the copyrighted work
- URL of the infringing content
- Your contact information
- Statement of good faith belief
- Statement of accuracy under penalty of perjury
- Your signature
Repeat infringers may have their accounts terminated.
16. Prohibited Conduct
You agree NOT to:
Illegal Activities
- Use the Service for illegal purposes
- Violate laws, engage in money laundering
Harmful Behavior
- Harass, threaten, stalk, or bully others
- Post violent, hateful, discriminatory content
- Dox or share others' personal info without consent
Fraud and Deception
- Create fake accounts, impersonate others
- Post false information, engage in scams
- Create fake reviews
Spam and Manipulation
- Send unsolicited messages
- Use bots without authorization
- Manipulate rankings or algorithms
Technical Violations
- Attempt unauthorized access
- Distribute malware
- Scrape data without permission
- Conduct denial-of-service attacks
17. Content Moderation
Our Approach
- Automated systems detect potentially violating content
- Human moderators review flagged content
- User reports help identify violations
Enforcement Actions
- Content removal
- Warning to user
- Temporary suspension
- Permanent ban
- Report to law enforcement if required
Appeals
Submit appeals within 30 days to appeals@medueti.com, including your account info and explanation. Appeals are reviewed within 14 days.
18. Account Verification
Verification Types
- Email Verification: Confirm email ownership
- Phone Verification: SMS code confirmation
- Identity Verification: Government ID submission
- Business Verification: Business registration documents
- Professional Verification: Certifications, licenses
Document Handling
- Stored securely with encryption
- Reviewed only by authorized personnel
- Deleted after verification (unless legally required)
- Not shared with third parties
Verification badges are non-transferable and subject to revocation.
19. Advertising
Medueti displays advertisements through:
- Google AdMob (native ads)
- Sponsored content from businesses
Ad Disclosures
- Sponsored content is clearly labeled
- We do not endorse products in advertisements
- Adjust ad personalization in device settings
20. Third-Party Services
Medueti integrates with third-party services:
- Google Firebase: Backend, authentication, analytics
- Google AdMob: Advertising
- Google/Apple Sign-In: Authentication
- OpenStreetMap/Nominatim: Location services
- PayPal: Creator Program payouts (see Section 5.4)
We are NOT responsible for third-party content, practices, or damages.
Your use is also subject to the Google Play Terms of Service and the Apple Media Services Terms and Conditions.
21. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, accuracy of content, and uninterrupted service.
We do NOT guarantee that the Service will meet your requirements, be available at all times, produce accurate results, be error-free, or be virus-free.
We are NOT responsible for User Content, products/services/meals/stays offered by users, or third-party services.
This disclaimer does not affect your statutory warranty rights (e.g. under §327 ff. BGB for digital services) or any liability that cannot be excluded by law — see Section 22.
22. Limitation of Liability
Nothing in this section excludes or limits our liability for death or personal injury caused by our negligence; for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit); for breach of a cardinal obligation (Kardinalpflicht) — an obligation whose fulfilment is essential to this agreement and on which you may regularly rely; or for any liability that cannot be excluded under mandatory law (e.g. the German Product Liability Act).
For all other cases, to the maximum extent permitted by law, Medueti shall NOT be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Service interruption or data loss
- Unauthorized access to your data
- Conduct of third parties
Liability Cap
Our total liability for slight negligence in breach of a non-cardinal obligation shall not exceed the greater of: any amount you paid Medueti directly in the 12 months preceding the claim, or €100 (one hundred euros).
Some jurisdictions do not allow these limitations; your rights may vary.
23. Indemnification
Where you are at fault, you agree to indemnify Medueti and its affiliates against third-party claims, damages, and reasonable legal costs directly caused by:
- Your User Content
- Your violation of these Terms
- Your violation of third-party rights
- Your violation of applicable laws
- Transactions between you and other users
This does not apply to the extent the claim results from Medueti's own breach or negligence, and does not require you to indemnify us for damages we are responsible for under Section 22.
24. Dispute Resolution
Informal Resolution
Before filing any formal dispute, contact us at disputes@medueti.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration (Non-EU Users Only)
If informal resolution fails, disputes are resolved by binding arbitration under ICC rules in Hamburg, Germany. Proceedings in English. This arbitration clause does not apply to EU consumers, whose rights are set out below.
Class action waiver (Non-EU Users Only): Disputes are resolved on an individual basis, NOT as a class action.
EU Consumer Rights (overrides the above for EU consumers)
- Arbitration and the class action waiver above do not apply to you
- You may bring claims before the courts of your country of residence
- You are entitled to the mandatory consumer protection laws of your country of residence
- ODR Platform: https://ec.europa.eu/consumers/odr
Non-EU users: claims must be brought within ONE (1) YEAR or be permanently barred, except where a longer period is required by mandatory law. This does not shorten the statutory limitation periods available to EU consumers.
25. Termination
Termination by You
- Settings → Account → Delete Account, or email support@medueti.com
- 30-day grace period for recovery
- After 30 days: permanent deletion
Termination by Medueti
We may terminate immediately if you violate these Terms, engage in fraud/illegal activity, pose a security risk, or as required by law.
Effect of Termination
- License to use the Service is revoked
- User Content may be deleted
- Unused Event Credits are forfeited
- Any transaction you agreed to with another user remains between you and them; Medueti is not involved
26. Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, without depriving you of any mandatory consumer-protection rights of your country of residence.
- For non-EU users, subject to Section 24's arbitration provisions, courts in Hamburg, Germany have exclusive jurisdiction
- For EU consumers, this is overridden by Section 24: you may bring claims before the courts of your own country of residence, and Medueti may only sue you before those same courts
The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
27. Changes to Terms
For minor changes (e.g. clarifications with no impact on your rights or obligations), we update the "Last updated" date above and notify you via in-app notification or email.
For material changes (changes that reduce your rights or increase your obligations), we will notify you in advance via in-app notification and/or email, with at least 14 days' notice before the changes take effect, and ask you to actively accept them (e.g. via an in-app confirmation) before continuing to use the Service. If you do not accept, your account and these Terms continue under the previous version until you stop using the Service or your account is closed.
28. General Provisions
- Entire Agreement: These Terms + Privacy Policy + any additional terms
- Severability: Invalid provisions are modified to the minimum extent necessary
- Waiver: Failure to enforce does not waive our rights
- Assignment: You cannot transfer your rights without our consent
- Force Majeure: Not liable for circumstances beyond our control
- Language: The English version prevails
- Electronic Communications: You consent to receive electronic notices
